Plain English summary: These terms govern your use of the Ledge app. We've written them as clearly as we can. If anything is unclear, email us at support@ledg3.com and we'll explain it. Nothing in these terms removes your rights under New Zealand consumer law.

1 Acceptance of terms
By downloading, installing, or using the Ledge app you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. Both documents together form the agreement between you and Ledge. If you do not agree to these Terms, do not use the app.
If you are using Ledge on behalf of a business, you confirm that you have authority to bind that business to these Terms, and references to "you" in these Terms include that business.
2 What Ledge is (and isn't)
Ledge is a mobile productivity tool that helps New Zealand sole traders organise business expenses, create and send invoices, and track GST. It is designed to save you time and reduce admin.
Ledge is not any of the following:
- An accounting service or registered tax agent
- A financial adviser or investment platform
- A legal adviser
Nothing within the app — including GST calculations, spending summaries, or any other output — constitutes financial, tax, or legal advice. You are solely responsible for ensuring your own tax obligations are met and for verifying the accuracy of any figures Ledge produces before relying on them for any compliance or financial purpose.
3 Eligibility
To use Ledge you must:
- Be at least 18 years old
- Be using Ledge for legitimate business purposes — not for personal or household use
- Be based in, or conducting business in, New Zealand
By using Ledge you confirm you meet these requirements. We reserve the right to suspend access if we have reason to believe you do not.
4 Your account and security
Ledge uses passkey authentication tied to your device. There is no username or password. You are responsible for:
- Maintaining the physical security of your device at all times
- All activity that occurs under your account, whether or not you authorised it
- Contacting us immediately at support@ledg3.com if you believe your account has been compromised or your device has been lost or stolen
You may delete your account at any time from within the app. Deletion is immediate and permanent. Please refer to our Privacy Policy (section 8) for information about what happens to your data when you delete your account, and our recommendation to export your data first.
5 Acceptable use
You may use Ledge only for lawful business purposes. You must not:
- Upload false, fraudulent, fabricated, or deliberately misleading receipt or invoice data
- Use Ledge to facilitate tax evasion, money laundering, or any other unlawful financial activity
- Attempt to reverse engineer, decompile, disassemble, or extract the source code of the app or its infrastructure
- Probe, scan, or test the security of our systems, or attempt to gain unauthorised access to any part of our infrastructure
- Use automated scripts, bots, or tools to access or interact with the app in a way not intended by its design
- Use Ledge to process receipts or issue invoices on behalf of another person or business without their knowledge and consent
- Resell, sublicence, or provide access to Ledge to a third party without our written consent
- Use the app in any way that could damage, overburden, impair, or interfere with the service or other users' access to it
We reserve the right to suspend or terminate access immediately if we reasonably believe these requirements are being breached.
6 Free tier
Ledge offers a free tier at no cost, subject to the following monthly limits:
- 10 receipt uploads per month (via camera or photo gallery)
- 1 invoice per month
- 1 saved vendor
Monthly limits reset on the first day of each calendar month. We may adjust free tier limits at any time. Where we reduce free tier limits in a material way, we will give you at least 30 days advance notice via the app before the change takes effect, so you can decide whether to upgrade or export your data.
7 Pro subscription — billing
The Ledge Pro subscription removes all free tier limits and unlocks additional features. Key billing terms are as follows:
- Current price: NZD $9.99 per month, including GST
- Billing platform: Subscriptions are purchased through and managed by the Apple App Store or Google Play. All billing is handled by those platforms, and their terms apply to your purchase.
- Billing cycle: Monthly, charged in advance on the date you first subscribed
- Auto-renewal: Your subscription renews automatically each month unless you cancel it at least 24 hours before your next renewal date
- Confirmation: A receipt for each payment is issued by the App Store or Google Play to the account you used to subscribe
8 Price changes
We reserve the right to change the price of the Ledge Pro subscription at any time. However, we commit to the following process when we do:
- We will give you at least 30 days advance notice of any price increase, delivered via in-app notification or email (if we hold your address), before the change takes effect on your subscription
- A price change will not take effect until your next renewal period after the notice period has elapsed
- If you do not wish to continue at the new price, you can cancel your subscription before your next renewal date with no penalty. Cancellation instructions are in section 9 below.
- Continuing to use the Pro subscription after a price change takes effect on your account constitutes your acceptance of the new price
We will not increase prices without notice or retroactively charge for any period already paid.
9 Cancellation
You can cancel your Pro subscription at any time through the subscription management settings in your Apple App Store or Google Play account. Cancellation must be made at least 24 hours before your next renewal date to avoid being charged for the next period.
Once cancelled:
- Your Pro access continues until the end of the billing period you have already paid for
- You will not be charged again after cancellation
- At the end of the paid period, your account reverts to the free tier limits
- Your data is not deleted when you cancel — it remains accessible on the free tier
Deleting the app from your device does not automatically cancel your subscription. You must cancel through your App Store or Google Play account.
10 Refunds
Because Ledge Pro subscriptions are billed through the Apple App Store or Google Play, refund requests are governed by those platforms' refund policies. We do not process refunds directly.
Our specific position on refunds:
- Change of mind: We do not offer refunds for change of mind cancellations. If you cancel mid-period, you retain access to Pro features until the end of the period already paid, but the unused portion is not refunded. This is standard practice for subscription services.
- Pro-rata refunds: We do not provide pro-rata refunds for partial billing periods.
- Technical failures: If Ledge experiences a significant, sustained technical failure that prevents you from using the service, and we are unable to fix it within a reasonable timeframe, you may be entitled to a remedy. Please contact us at support@ledg3.com and we will assess your situation fairly.
Nothing in this section removes your rights under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986. If the service has a genuine fault or fails to meet the guarantees under those Acts, you may have remedies available beyond what is stated above. See sections 13 and 14 for details.
11 AI processing and data accuracy
Ledge uses AI to extract data from receipt images. While the technology is accurate most of the time, it is not perfect. You acknowledge that:
- Extracted data — including vendor name, amount, date, GST, and category — may contain errors
- You are responsible for reviewing all AI-extracted data before using it for any tax, financial, or compliance purpose
- Ledge is not liable for any tax penalties, IRD assessment, or financial loss arising from errors in AI-extracted or AI-assisted data
- Receipt images are processed by OpenAI's API. Refer to our Privacy Policy (section 5) for details on how this is handled
12 Your data and intellectual property
Your data belongs to you. Receipts, invoices, client records, and business information you enter into Ledge remain your property. We do not claim any ownership of your data and we do not use it for any purpose other than operating the service for you, as described in our Privacy Policy.
You can export your data at any time (Pro) or delete it at any time (all users) via your account settings.
Our intellectual property. The Ledge app, including its design, code, features, branding, and content, is owned by us and protected by copyright and other intellectual property laws. You may not copy, reproduce, modify, distribute, or create derivative works from any part of the app without our written permission.
You grant us a limited, non-exclusive licence to store, process, and display your data solely for the purpose of providing the Ledge service to you. This licence ends when you delete your account.
13 Consumer Guarantees Act
This section affects your legal rights. Please read it carefully.
Ledge is supplied and acquired for business purposes. To the extent permitted by section 43 of the Consumer Guarantees Act 1993, the parties agree that the Act does not apply to the supply of Ledge under these Terms, provided you are genuinely using Ledge as a business tool.
This exclusion applies only in the context of business-to-business supply. If you use Ledge for personal or household purposes (which would be outside the intended use of the app), the Consumer Guarantees Act may still apply.
This exclusion does not affect your rights under the Fair Trading Act 1986 (see section 14 below) or any other applicable New Zealand law.
14 Fair Trading Act
Nothing in these Terms excludes, restricts, or modifies any right or remedy that you have under the Fair Trading Act 1986 that cannot lawfully be excluded.
We commit to:
- Not making misleading or deceptive representations about what Ledge does or what it costs
- Not engaging in conduct that is likely to mislead or deceive, including in our marketing, pricing, and feature descriptions
- Ensuring that any promotional or comparative claims we make about Ledge are accurate and substantiated
If you believe we have acted in a way that breaches the Fair Trading Act, please contact us at support@ledg3.com in the first instance. You may also contact the Commerce Commission at comcom.govt.nz.
15 Disclaimers and limitation of liability
Ledge is provided on an "as is" and "as available" basis. To the maximum extent permitted by New Zealand law, we disclaim all warranties, express or implied, regarding the reliability, availability, accuracy, or fitness for a particular purpose of the service.
Subject to section 14 above and to any statutory rights that cannot be excluded, we are not liable for:
- Any indirect, incidental, special, consequential, or punitive loss or damage arising from your use of Ledge
- Loss of revenue, profits, data, or business opportunity
- Errors in AI-extracted receipt data that lead to incorrect tax filings or financial records
- Any tax penalties, IRD investigations, or compliance issues arising from your use of Ledge
- Service interruptions caused by third-party infrastructure providers outside our reasonable control
Where liability cannot be fully excluded under New Zealand law, our total liability to you for any claim arising from your use of Ledge is limited to the total amount you paid us in the three calendar months immediately preceding the event giving rise to the claim, or NZD $100, whichever is greater.
These limitations do not apply to liability for death or personal injury caused by our negligence, or to liability for fraud or fraudulent misrepresentation.
16 Force majeure
We are not in breach of these Terms, and are not liable to you, for any failure or delay in providing Ledge caused by circumstances genuinely beyond our reasonable control. This includes, but is not limited to: outages or failures of third-party infrastructure providers (including Railway, Neon, Cloudflare, OpenAI, Apple, or Google); widespread internet disruptions; natural disasters; acts of government; or cyberattacks directed at our infrastructure.
In such events we will take all reasonable steps to restore the service as quickly as practicable and will communicate with you about the situation and estimated recovery time.
17 Suspension and termination
By you: You may stop using Ledge and delete your account at any time from within the app. Deletion of your account is immediate and permanent.
By us — for breach: We may suspend or terminate your access if you materially breach these Terms and either the breach is not capable of remedy, or you fail to remedy it within 14 days of receiving written notice from us. We may terminate immediately, without notice, in cases of serious breach — including fraud, illegal activity, or deliberate misuse of the service.
By us — discontinuation of service: We may wind down the Ledge service entirely. If we do, we will give you at least 60 days advance notice and provide a way for you to export your data before the service closes.
On termination for any reason, your right to use the app ends. We encourage you to export your data before your account is closed.
18 Dispute resolution
If you have a complaint or dispute about Ledge, please contact us first at support@ledg3.com. We will acknowledge your message within 2 business days and aim to resolve it within 10 business days.
If we cannot resolve the dispute through direct communication, either party may refer it to mediation with a mutually agreed mediator in New Zealand before commencing court proceedings. If mediation fails or is declined by either party, either party may pursue their rights through the New Zealand courts.
Nothing in this section prevents you from contacting the Commerce Commission, the Office of the Privacy Commissioner, or any other applicable regulatory body.
19 Changes to these terms
We may update these Terms from time to time. We will give you at least 14 days advance notice of any material changes via in-app notification or email (if we hold your address) before they take effect.
If you do not accept the updated Terms, you may delete your account before they take effect. Continuing to use Ledge after changes take effect constitutes your acceptance of the updated Terms.
Minor changes — such as clarifications, corrections, or improvements to readability that do not alter the substance of what is agreed — may be made without advance notice, and the date at the top of this page will be updated to reflect them.
20 Governing law
These Terms are governed by the laws of New Zealand. Any disputes that proceed to court will be determined by the New Zealand courts. Both parties submit to the non-exclusive jurisdiction of the New Zealand courts for this purpose.
